1. Acceptance of Terms
By accessing or using services provided by Vyntech Pty Ltd (ABN registered, "Vyntech", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, you must not use our services.
2. Services
Vyntech provides managed IT services, cybersecurity solutions, cloud infrastructure, and physical installation services to businesses across Australia. The specific scope of services is defined in your individual service agreement or statement of work.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use at support@vyntech.com.au.
4. Payment Terms
- All fees are quoted and payable in Australian Dollars (AUD).
- Services are invoiced monthly in arrears unless otherwise agreed.
- Payment is due within 14 days of the invoice date (net-14).
- Late payments may incur interest at 1.5% per month on the outstanding balance.
5. Service Levels
Service level commitments, including uptime guarantees and response times, are defined in your individual Service Level Agreement (SLA). Where no specific SLA exists, we will use commercially reasonable efforts to maintain service availability.
6. Intellectual Property
All intellectual property developed by Vyntech in the course of delivering services remains the property of Vyntech unless explicitly assigned in writing. You retain ownership of your data and any pre-existing intellectual property you provide to us.
7. Limitation of Liability
To the maximum extent permitted by Australian law, Vyntech's total liability for any claim arising from or related to these terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.
8. Termination
Services are provided on a month-to-month basis unless otherwise specified in your agreement. Either party may terminate with 30 days' written notice. We may suspend or terminate services immediately for non-payment or breach of these terms.
9. Governing Law
These terms are governed by the laws of New South Wales, Australia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
